General Terms and Conditions

1. Introductory Provisions

1.1 These General Terms and Conditions (hereinafter “GTC”) govern the relationship between DTP Tools Ltd., with registered office at Václavské náměstí 823/33, Nové Město (Praha 1), 110 00 Praha, Company ID: 28503236, registered in the Commercial Register maintained by Městský soud v Praze, C 146341/MSPH (hereinafter referred to as “we” or “controller”). (hereinafter “Provider”) and the customer (hereinafter “User”) in providing subscription to the service DTP Tools Cloud (hereinafter “Service”).1.2 The GTC are an integral part of the contract concluded between the Provider and the User.

2. Subject of the Contract

2.1 The subject of the contract is the provision of the Service to the User for a fee in the form of a subscription.

2.2 The Service is provided exclusively in the form of monthly or annual subscriptions.

3. Conclusion of the Contract

3.1 The contract is concluded at the moment the Provider confirms the User’s order.

3.2 The User is obliged to provide true and complete information during registration and ordering.

4. Price and Payment Terms

4.1 The price for the Service is set in the Provider’s price list valid on the day of the order.

4.2 Payment for the subscription is made in advance for the chosen period (monthly or annual).

4.3 The Provider reserves the right to change prices. The User will be informed about price changes in advance.

5. Rights and Obligations of the Contracting Parties

5.1 The Provider undertakes to provide the Service in accordance with these GTC and applicable legal regulations.

5.2 The User undertakes to use the Service in accordance with these GTC and applicable legal regulations.

6. Personal Data Protection

6.1 The Provider processes the User’s personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and Act No. 110/2019 Coll., on Personal Data Processing.

7. Withdrawal from the Contract

7.1 The User has the right to withdraw from the contract without giving a reason within 14 days from the conclusion of the contract. Refund of MIF Filter page conversion credits is made proportionately to the used and remaining credits.

7.2 The right to withdraw from the contract does not apply to cases specified in Section 1837 of the Civil Code.

7.3 In case of termination later than 14 days after purchase, amount proportionate to the subscription time elapsed measured with the monthly subscription fee amount minus transaction fees will be returned to the card used for the purchase.

8.0 Out-of-court dispute settlement

8.1 The Czech Trade Inspection Authority, with its registered office at Štěpánská 567/15, 120 00 Prague 2, ID No.: 000 20 869, website: https://adr.coi.cz/cs, is competent for the out-of-court settlement of consumer disputes arising from a purchase agreement. The online dispute resolution platform located at the web address http://ec.europa.eu/consumers/odr can be used to resolve disputes between the seller and the buyer arising from a purchase agreement.

8.2 The European Consumer Centre Czech Republic, with its registered office at Štěpánská 567/15, 120 00 Prague 2, website: http://www.evropskyspotrebitel.cz, is the contact point pursuant to Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on online dispute resolution for consumer disputes and amending Regulation (EC) No 2006/2004 and Directive 2009/22/EC (Regulation on consumer ODR).

8.3 The seller is authorized to sell goods on the basis of a trade license. Trade licensing control is carried out within its competence by the relevant trade licensing office. The Czech Trade Inspection Authority, within a defined scope, supervises, among other things, compliance with Act No. 634/1992 Coll., on Consumer Protection.

9. Final Provisions

9.1 These GTC come into effect on 1/1/2024.

9.2 The Provider reserves the right to change the GTC. The User will be informed about changes to the GTC in advance.

9.3 Relationships not regulated by these GTC are governed by the applicable legal regulations of the Czech Republic.

Všeobecné obchodní podmínky

1. Úvodní ustanovení

1.1 Tyto všeobecné obchodní podmínky (dále jen “VOP”) upravují vztahy mezi DTP Tools s.r.o., se sídlem Václavské náměstí 823/33, Nové Město (Praha 1), 110 00 Praha, IČO: 28503236, zapsaná v obchodním rejstříku vedeném Městským soudem v Praze, C 146341/MSPH dále jen “Poskytovatel”) a zákazníkem (dále jen “Uživatel”) při poskytování předplatného služby [název služby] (dále jen “Služba”).

1.2 VOP jsou nedílnou součástí smlouvy uzavřené mezi Poskytovatelem a Uživatelem.

2. Předmět smlouvy

2.1 Předmětem smlouvy je poskytování Služby Uživateli za úplatu formou předplatného.

2.2 Služba je poskytována výhradně formou měsíčního nebo ročního předplatného.

3. Uzavření smlouvy

3.1 Smlouva je uzavřena okamžikem potvrzení objednávky Uživatele Poskytovatelem.

3.2 Uživatel je povinen poskytnout pravdivé a úplné údaje při registraci a objednávce.

4. Cena a platební podmínky

4.1 Cena za Službu je stanovena v ceníku Poskytovatele platném v den objednávky.

4.2 Platba za předplatné je prováděna předem na zvolené období (měsíční nebo roční).

4.3 Poskytovatel si vyhrazuje právo na změnu cen. O změně cen bude Uživatel informován s předstihem.

5. Práva a povinnosti smluvních stran

5.1 Poskytovatel se zavazuje poskytovat Službu v souladu s těmito VOP a platnými právními předpisy.

5.2 Uživatel se zavazuje využívat Službu v souladu s těmito VOP a platnými právními předpisy.

6. Ochrana osobních údajů

6.1 Poskytovatel zpracovává osobní údaje Uživatele v souladu s Nařízením Evropského parlamentu a Rady (EU) 2016/679 (GDPR) a zákonem č. 110/2019 Sb., o zpracování osobních údajů.

7. Odstoupení od smlouvy

7.1 Uživatel má právo odstoupit od smlouvy bez udání důvodu ve lhůtě 14 dnů od uzavření smlouvy.7.2 Právo na odstoupení od smlouvy se nevztahuje na případy uvedené v § 1837 občanského zákoníku. U produktu MIF Filter page conversion credits je v tomto období vrácena poměrná částka v závislosti na počtu využitých kreditů.

7.2 V případě ukončení předplatného později než 14 dní po objednání vrací poskytovatel proporční částku předplatného (měřeno cenou měsíční subskripce) poníženou o transakční náklady. Částka se vrací na kartu použitou k nákupu subskripce.

8 Mimosoudní řešení sporů

8.1 .K mimosoudnímu řešení spotřebitelských sporů z kupní smlouvy je příslušná Česká obchodní inspekce se sídlem Štěpánská 567/15, 120 00 Praha 2, IČ: 000 20 869, internetová adresa: https://adr.coi.cz/cs. Platformu pro řešení sporů on-line nacházející se na internetové adrese http://ec.europa.eu/consumers/odr je možné využít při řešení sporů mezi prodávajícím a kupujícím z kupní smlouvy.
8.2 Evropské spotřebitelské centrum Česká republika se sídlem Štěpánská 567/15, 120 00 Praha 2, internetová adresa: http://www.evropskyspotrebitel.cz je kontaktním místem podle Nařízení Evropského parlamentu a Rady (EU) č. 524/2013 ze dne 21. května 2013 o řešení spotřebitelských sporů on-line a o změně nařízení (ES) č. 2006/2004 a směrnice 2009/22/ES (nařízení o řešení spotřebitelských sporů on-line).
8.3 Prodávající je oprávněn k prodeji zboží na základě živnostenského oprávnění. Živnostenskou kontrolu provádí v rámci své působnosti příslušný živnostenský úřad. Česká obchodní inspekce vykonává ve vymezeném rozsahu mimo jiné dozor nad dodržováním zákona č. 634/1992 Sb., o ochraně spotřebitele.

9. Závěrečná ustanovení

9.1 Tyto VOP nabývají účinnosti dnem 1.1.2024

9.2 Poskytovatel si vyhrazuje právo VOP měnit. O změně VOP bude Uživatel informován s předstihem.

9.3 Vztahy neupravené těmito VOP se řídí platnými právními předpisy České republiky.
